Welcome to Vivan Buildmart Private Limited (“Company”, “we”, “us”, “our”). The Company operates and manages an online e-commerce marketplace, through its website, mobile application and related digital interfaces (“Platform”), for the listing, display, marketing, and sale of construction materials and related products to customers, or buyers.

These Vendor Terms and Conditions (“Terms”) govern the process of vendor onboarding, registration, listing of products, sale of goods, access to Platform services, and all related interactions between the Company and the vendors. The terms “Vendor”, “you”, or “your” refer to any natural or legal person who registers and onboards on the Platform for listing and selling its products.

By accessing, registering on, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as all other applicable policies, guidelines, agreements, communications, and notices issued by the Company from time to time, which shall be deemed to be incorporated herein by reference.

If you do not agree to these Terms, you may not register, access, or use the Platform or any of its services.

Use of the Platform is permitted only to individuals who are competent to contract under applicable law and who are at least 18 (Eighteen) years of age. The Company does not knowingly onboard or collect data from individuals below the age of 18 (Eighteen).

For the purposes of these Terms, unless the context otherwise requires, the following expressions shall have the meanings assigned to them below:

• Applicable Law means all laws, statutes, rules, regulations, ordinances, codes, guidelines, notifications, orders, and directions of any governmental or regulatory authority, as may be applicable in India from time to time.
• Buyer(s) / Customer(s) means any user, customer, or purchaser who accesses the Platform and buys or intends to buy any Product listed by the Vendor.
• Confidential Information includes all non-public, proprietary, or sensitive information belonging to the Company or the Platform — including business processes, software, algorithms, fees, pricing structure, policies, user data, reports, and any information marked or reasonably understood to be confidential.
• Content means any text, image, graphic, video, audio, logo, trademark, description, data, or material uploaded or provided by the Vendor or generated by the Platform.
• Intellectual Property Rights (IPR) means all patents, trademarks, service marks, trade names, copyrights, design rights, brand rights, logos, trade dress, domain names, trade secrets, and any other proprietary rights, whether registered or unregistered.
• Onboarding Documentation means all documents, KYC details, certificates, agreements, declarations, business proofs, GST details, bank details, and any other information submitted by the Vendor for registration and verification.
• Purchase Order (PO) means a purchase request placed by a Buyer on the Platform for Products listed by the Vendor.
• Payment Settlement means the process by which the Company settles the net payable amount to the Vendor after deduction of Commission, penalties, charges, refunds, discounts, taxes, or any other applicable deductions.
• Platform Services means all services rendered by the Company, including listing of Products, order management, payment collection, payment settlement, logistics support (if applicable), marketing support, customer support, and other related value-added services.
• Products means all construction materials, tools, equipment, accessories, and any other goods that the Vendor lists, markets, offers, or sells through the Platform.
• Return means any Product that the Buyer returns to the Vendor or the Company due to defect, damage, poor quality, wrong item, or any other reason as per the applicable return policy.
• Vendor Registration means the initial sign-up process through the Company's website or mobile application.

This section outlines the eligibility criteria, documentation requirements, verification workflow, onboarding steps, quality standards, and activation rules governing all Vendors.

1. Vendor Eligibility Criteria

A Vendor shall be eligible to onboard only if:

• It is a registered business entity (Proprietorship, Partnership, LLP, Company), or
• It is an individual trader legally permitted to sell construction materials under Applicable Law.

2. Mandatory KYC Documentation

• GST Registration
• PAN Card
• Bank Account Proof (Cancelled cheque / Passbook)
• Business Address Proof
• Authorized Signatory Details (if applicable)

3. Product Eligibility

• Products must fall under approved construction material categories.
• Restricted or prohibited goods will not be listed.
• Each SKU must comply with quality, safety, and packaging requirements.

4. Operational Requirements

• Ability to manage timely dispatch, packaging, and order fulfillment.
• Mandatory acceptance of Platform policies, including pricing, returns, refunds, and Quality Control standards.
• Minimum 5 (Five) SKUs must be uploaded before activation.

5. Vendor Registration Process

• Account Creation: Visit vendor.gobuildmart.com and complete the digital sign-up form. OTP verification and acceptance of Terms is mandatory.
• Digital KYC Submission: Upload required KYC documents. The Platform's Auto-Verification System (AVS) integrates with GST, PAN, and Bank verification APIs.
• Business Profile Setup: Complete product categories, brand details, serviceable areas, dispatch time, and logistics preferences.
• Vendor Account Manager (VAM): A VAM is assigned to guide you throughout onboarding.

The onboarding process includes the following digitally structured stages:

• Stage 1 — Registration: Vendor creates an account, verifies OTP, and accepts the Terms. A welcome communication is sent via WhatsApp / Email.
• Stage 2 — KYC & Verification: Vendor uploads GST, PAN, and bank documents; auto-verification via APIs.
• Stage 3 — Business Profile Completion: Vendor fills business operations, dispatch timelines, address, and catalogue preferences.
• Stage 4 — Product Listing: Vendor uploads minimum 5 SKUs with high-quality images, accurate attributes, pricing, stock and technical details.
• Stage 5 — Digital Approval & Activation: QC Panel reviews products and images. Upon approval, the Vendor goes live.

Incentives & Rewards

The following metrics determine Vendor performance and continued eligibility:

• Vendor must upload a minimum of 5 SKUs during the onboarding process.
• The Vendor is solely responsible for product pricing, stock accuracy, technical specifications, quality standards, images and attributes, delivery timelines, and applicable taxes.
• Vendors must ensure that:
  • Products are purchased only from authorised distributors or manufacturers;
  • No defective or adulterated materials are listed;
  • All items comply with BIS, ISI, and other regulatory norms (as applicable).
• Any misleading product information, false claims, self-generated fake reviews, or deceptive pricing is strictly prohibited.
• All content uploaded becomes part of the Platform. The Company may remove or reject listings that violate policies.

• The Vendor shall accept or reject orders on the Vendor Dashboard strictly within the timelines prescribed under these Terms.
• All dispatches shall be made only from the authorized warehouse address submitted by the Vendor during the KYC process. Dispatch from any third-party or unverified location is strictly prohibited.
• Vendor is responsible for proper packaging, loading/unloading, insurance in transit, timely dispatch, generation of applicable e-way bills / e-invoices, and uploading all required documents on the Vendor Portal.
• Mandatory uploads for every order: Signed Invoice, GST Invoice, E-way bill / E-invoice, loading & unloading photographs/videos (where applicable), and transport & tracking details.

Defined Timelines

• Order Acceptance / Rejection: Within 2 hours of order placement.
• Dispatch Timeline: Within 24 hours of order acceptance.
• Response to Company Queries: Within 12 hours.
• Acknowledgement of Return Requests: Within 12 hours.
• Tracking Update Upload: Within 2 hours of dispatch.

Failure to adhere to these timelines may result in delays, suspension of settlements, or penalties. Any order without valid tracking updates within the stipulated timeline shall be non-compliant and not eligible for settlement.

• After delivery, Customers will conduct a Quality Check within 24 hours. If no complaint is raised within 24 hours, the order is auto-approved.
• If a Customer raises a quality or delivery complaint, the Vendor must resolve it directly; the Company acts only as a mediator.
• Detailed return and refund handling is covered under the Payment, Return and Refund Policy on the Platform.
• If a Product is returned due to a quality defect for 3 (three) consecutive occurrences, the Company may initiate Vendor offboarding, temporary suspension, or permanent termination of the SKU or account at its discretion.
• All quality, delivery, or product-related complaints raised by Customers shall be routed exclusively through the Platform. Vendors shall not directly contact Customers, nor will Customers be provided with Vendor contact details.

All settlements, timelines, settlement cycles, deductions, refunds, and commission details are governed under the Payment, Return and Refund Policy.

No payments shall be released for orders with pending tracking updates, disputes, or investigations.

The Company may impose penalties for:

• Wrong / damaged Products
• Fake or misleading listings
• Delay in dispatch
• Order cancellation by Vendor
• Delivering from unauthorized location
• Missing documents
• Non-updated tracking
• Customer complaints
• Fraudulent activities

Actions the Company may take

• Deduction from payouts
• SKU removal
• Account suspension
• Blacklisting
• Legal action
• Reporting to authorities

Permitted Vendor Cancellations

Order cancellation by the Vendor is permitted only in cases of:

• Genuine Product defects
• Inventory damage
• Unavoidable operational failures verified and accepted by the Company
• Incorrect or incomplete order details provided by the Buyer

Any cancellation beyond the above permitted reasons shall attract penalties as per Company policy.

For data protection and privacy, the Vendor shall refer to our Privacy Policy.

Vendors must protect all Buyer data and are strictly prohibited from:

• Misusing Buyer contact details
• Selling data to third parties
• Spamming Buyers

Any breach may result in termination and legal action.

Purpose & Scope

This Anti-Fraud Declaration Policy is issued by the Company to prevent, detect, deter, and address any fraudulent, dishonest, misleading, or unlawful activities in connection with the Platform. It applies to all Vendors and shall be read together with these Terms, the Payment Gateway Policy, Return, Exchange & Refund Policy, Privacy Policy, and other applicable policies.

Examples of Fraud

• Forged, false, misleading, or manipulated KYC / onboarding documents
• Impersonation, identity theft, or unauthorized use of third-party credentials
• Listing counterfeit, unauthorized, adulterated, expired, or non-compliant Products
• False claims regarding product quality, specifications, certifications, origin, pricing, or availability
• Manipulation of prices, stock levels, discounts, or commissions
• Fake orders, self-ordering, circular trading, or collusive practices
• Generation of fake reviews, ratings, feedback, or transaction history
• Misuse of Buyer data or Platform data
• Diversion of Products, dispatch from unauthorized locations, or document manipulation
• Abuse of return, refund, or incentive mechanisms
• Any act intended to obtain unlawful gain or cause loss to the Company, Buyers, or other Vendors

Vendor Declaration & Undertaking

By onboarding or continuing to operate on the Platform, the Vendor declares that:

• All information, documents, listings, and data provided are true, accurate, complete, and lawful;
• The Vendor shall not engage in any fraudulent, deceptive, or unfair trade practices;
• Products are sourced only from authorized manufacturers or distributors and comply with all Applicable Laws;
• The Vendor will promptly inform the Company of any suspected or detected fraud, misuse, or breach;
• The Vendor shall fully cooperate with the Company in any inquiry, audit, investigation, or verification process.

Consequences of Fraud

In the event of suspected or confirmed Fraud, the Company may:

• Suspend or terminate the Vendor account (temporarily or permanently);
• Remove or disable Product listings or SKUs;
• Withhold, adjust, or recover payments, incentives, or credits;
• Impose penalties, fines, or damages;
• Blacklist the Vendor from future onboarding;
• Initiate civil, criminal, or regulatory proceedings;
• Report the Vendor to law enforcement or statutory authorities.

Indemnity

The Vendor agrees to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and affiliates from and against all claims, losses, damages, liabilities, penalties, costs, and expenses (including legal fees) arising out of any fraudulent act, breach of this Policy, submission of false information, or non-compliance with Applicable Laws.

• All commercial / contractual / content terms are offered by Vendors and agreed upon between Vendors and Buyers alone. The Company does not determine, advise, control, or involve itself in such commercial terms.
• The Company does not make any representations or warranties about the quality, value, or saleability of Products on the Platform and accepts no liability for errors or omissions of third parties.
• Vendors must purchase Products exclusively from authorized distributors and manufacturers. The Company reserves the right to take legal action and impose fines for unauthorized sourcing.
• The Company is not responsible for non-performance or breach of any terms between Vendors and Buyers, nor for damages arising from out-of-stock or back-ordered items.
• Vendors agree to hold the Company harmless and indemnify it against all claims, liabilities, losses, and damages arising from their use of the Platform.

• Subject to compliance with these Terms, the Company grants Vendors limited access to use the Platform. Vendors may not download (other than page caching), modify, reproduce, resell, or commercially exploit any part of the Platform without express written consent.
• Use of data mining, robots, or similar data-gathering tools is prohibited. Vendors may not frame the Platform or use any meta tags or hidden text containing the Company's name or trademarks.
• Vendors are granted a limited, non-assignable, revocable, non-exclusive right to create a hyperlink to the Platform home page, provided it does not portray the Company in a misleading or derogatory manner.

The Company reserves the right to inspect and audit the Vendor's records and premises / place of business. This may be conducted by the Company itself or through approved third-party testing agencies, legal team, Company Secretary (CS), or Chartered Accountant (CA), as authorized by a resolution. The cost of such an audit shall be borne by the Company, unless the audit reflects discrepancy in Vendor accounts or non-compliance with policies — in which case the Vendor shall bear the cost.

The Company logo, marks, page headers, button icons, and scripts on the Platform are trademarks of the Company or its affiliates. They may not be used in connection with any product that is not the Company's in any manner likely to cause confusion or that disparages the Company or its affiliates.

Any trademarks, copyrights, or other intellectual property rights displayed on the Platform that belong to third-party owners are the sole property of their respective owners. The Company acknowledges these rights and does not claim any ownership over them.

Without limiting other remedies, the Company may limit your activity, remove your information, warn other users, suspend/terminate/block your account, or put your account on hold — including but not limited to where:

• You breach these Terms, the Privacy Policy, or other policies;
• The Company is unable to verify or authenticate any information you provide;
• It is believed that your actions may cause legal liability for you, other users, or the Company.

The Company is not liable for:

• Vendor's Products, service delays, defects, or false information;
• Loss of profit, revenue, goodwill, or data;
• Indirect, incidental, or consequential damages;
• Business losses due to account suspension.

The Company's total liability, if any, is limited to the commission earned on the disputed order.

The Vendor and the Company operate on a principal-to-principal basis. Nothing in these Terms creates a partnership, agency, employment, or joint venture between the parties.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

In the event of a dispute, the parties shall conduct good-faith negotiations. If mutual resolution cannot be reached within 15 (fifteen) days, the dispute shall be referred to a sole arbitrator under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, and the seat of arbitration shall be Surat, Gujarat.

The obligations, declarations, indemnities, and liabilities under these Terms shall survive termination or suspension of the Vendor account.

The Company reserves the right to amend, update, or modify these Terms at any time. Continued use of the Platform after such modification shall constitute acceptance of the revised Terms.

• The Company will not be held responsible for any delay or failure to comply with its obligations under these Terms if caused by events beyond its reasonable control.
• The Company does not warrant that Product descriptions or other content on the Platform are accurate, complete, reliable, current, or error-free.
• The Company and its affiliates do not ask for Vendor's ID or password, do not request fees in cash, and do not require hard copies of documents unless specifically needed.
• The Company is not responsible for and does not influence pricing, stock levels, or locations provided by Vendors.
