Welcome to Vivan Buildmart Private Limited (“Company”, “we”, “us”, “our”). The Company operates and manages an online e-commerce marketplace, through its website, mobile application and related digital interfaces (“Platform”), enabling customers to browse, and purchase construction materials and related products offered by third-party vendors (“Vendors”).

These Customer Terms and Conditions (“Terms”) govern your access to and use of the Platform, registration, browsing, placing orders, payments, delivery, returns, refunds, and all related interactions between the Company and the customers. The terms “Customer(s)”, “Buyer(s)”, “you”, or “your” refer to any individual or entity that accesses or uses the Platform to purchase or attempt to purchase any products.

By accessing, registering on, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as all other applicable policies, guidelines, agreements, communications, and notices issued by the Company from time to time, which shall be deemed to be incorporated herein by reference.

If you do not agree to these Terms, you may not register, access, or use the Platform or any of its services.

Use of the Platform is permitted only to individuals who are competent to contract under applicable law and who are at least 18 (Eighteen) years of age. The Company does not knowingly onboard or collect data from individuals below the age of 18 (Eighteen). If you believe that a minor has submitted personal information, you may contact the Company to request deletion of such information.

For the purposes of these Terms, unless the context otherwise requires, the following expressions shall have the meanings assigned to them below:

• “Applicable Law” means all laws, statutes, rules, regulations, ordinances, codes, guidelines, notifications, orders, and directions of any governmental or regulatory authority, as may be applicable in India from time to time.
• “Buyer(s) or Customer(s)” means any user, customer, or purchaser who accesses the Platform and buys or intends to buy any Product listed by the Vendor.
• “Confidential Information” includes all non-public, proprietary, or sensitive information belonging to the Company or the Platform, including but not limited to business processes, software, algorithms, fees, pricing structure, policies, user data, reports, and any information marked or reasonably understood to be confidential.
• “Content” means any text, image, graphic, video, audio, logo, trademark, description, data, or material uploaded or provided by the Vendor or generated by the Platform.
• “Intellectual Property Rights (IPR)” means all patents, trademarks, service marks, trade names, copyrights, design rights, brand rights, logos, trade dress, domain names, trade secrets, and any other proprietary rights, whether registered or unregistered.
• “Platform Services” means all services rendered by the Company, including but not limited to order management, payment collection, payment settlement, logistics support (if applicable), marketing support, customer support, and other related value-added services.
• “Products” means all construction materials, tools, equipment, accessories, and any other goods that the Vendor lists, markets, offers, or sells through the Platform.
• “Return” means any Product that the Buyer returns to the Vendor or the Company due to defect, damage, poor quality, wrong item, or any other reason as per the applicable return policy.

1. To use certain Platform Services, you may be required to complete a Know Your Customer (KYC) verification. This may be carried out using Aadhaar-based verification or any other legally permitted method. By registering, you authorize the Platform to collect and verify your identity information in accordance with Applicable Laws.
2. During the KYC process, we may collect or retrieve the following details:
   • Full name
   • Date of birth
   • Gender
   • Residential / business address
   • Mobile number and email address
   • Organization or business documents (if applicable)
   • GST details (if applicable)

   You confirm that all information you provide is true, accurate, and up to date and agree to promptly update your details on the Platform if there is any change.

3. The Platform may verify your details by cross-checking, third-party verification services, and/or by lawful background checks. If any information provided by you is found to be false, incomplete, or misleading, your access to the Platform may be restricted, suspended, or terminated.

1. By registering and using the Platform, you provide your explicit consent for the collection, storage, and use of your personal and business information solely for providing services on the Platform.
2. Your information may be used and shared with authorized third-party service providers strictly in accordance with the Platform's Privacy Policy.
3. You acknowledge and agree that such disclosures may be made when legally required, without prior notice.

1. Permitted Use: You may use the Platform only for lawful and legitimate purchase of Products.
2. Prohibited Use: You must not:
   • Use the Platform for fraudulent activity;
   • Infringe Intellectual Property Rights;
   • Upload harmful or misleading content;
   • Spam or exploit the Platform systems.

   Violation may result in immediate suspension or termination of your account.

1. Buyers may place orders on the Platform by selecting products or services listed by the Vendors and completing the checkout process. By placing an order, the Buyer makes a binding offer to purchase the selected Products in accordance with these Terms and any Vendor specific conditions displayed on the Platform.
2. Bulk purchases may be placed subject to minimum order quantity (MOQ) requirements and other conditions as specified by the respective Vendors. The availability, pricing, discounts, delivery timelines, and other terms for bulk orders may vary from Vendor to Vendor and will be displayed in the content of the Product or order page, or shared directly with the Buyer upon request.
3. Orders placed by the Buyers on the Platform, shall be made by making full payment at the time of placing of the order. All applicable prices, taxes, shipping charges, and payment terms will be clearly disclosed to the Buyer before the final checkout. Once an order is placed, it cannot be modified.
4. The Vendor reserves the right, to accept or reject any order placed through by the Buyer through the Platform. Orders may be cancelled by the Vendor in cases including, but not limited to:
   • Incorrect Product descriptions or pricing errors
   • Stock unavailability
   • Verification or KYC issues
   • Suspected fraudulent, abusive, or unlawful activity

   In such cases, any payment already made will be processed for refund in accordance with the Platform's Payment, Return and Refund Policy.

5. Orders, once successfully placed and confirmed on the Platform, shall be final and binding and cannot be cancelled, modified, or withdrawn by the Buyer under any circumstances, except where cancellation is expressly permitted under the applicable Vendor's return or cancellation policy as displayed on the Platform or mandated by applicable law.

1. All prices of Products and services displayed on the Platform are in Indian Rupees (INR) and are either inclusive or exclusive of applicable taxes, as specifically mentioned on the Product or checkout page. Any additional charges, including but not limited to shipping, handling, convenience fees, or delivery charges, shall be clearly disclosed before the final checkout.
2. You agree to pay the total amount as displayed at the time of checkout, including applicable taxes and charges. By confirming your order, you authorize the Company and its authorized payment service providers to process the payment through the selected payment method.
3. The Company uses secure third-party payment gateway service providers for processing online payments and does not store or retain your complete debit card, credit card, or banking details. Such sensitive payment information is handled directly by the authorized payment gateway providers in accordance with their respective privacy and security policies.
4. The Company and Vendors reserve the right to cancel any order arising out of incorrect pricing, typographical, or system errors. In such cases, the Buyer shall be notified and any amount paid shall be refunded without further liability.
5. The Company shall not be responsible or liable for any payment failures, transaction declines, or technical errors arising from the use of third-party payment systems.

1. Once the Buyer places an order for the Products and completes the applicable payment process, the Vendor will process the order. Upon acceptance of the order, the Vendor shall arrange for dispatch of the Products within the timelines indicated on the Platform.
2. After dispatch, the Buyer may track the status of the shipment using the tracking link, tracking ID, or order status updates made available through the Platform, email, SMS, or any other communication channel as may be provided. Tracking information is provided for the Buyer's convenience and may be subject to updates from third-party logistics partners.
3. The delivery of the Products shall be deemed complete once the Products are unloaded up to 10 (Ten) feet from the delivery vehicle at the delivery location. Any further movement, lifting, shifting, stacking, or installation of the Products beyond this point shall be the responsibility of the Buyer.
4. The Buyer is required to inspect the Products at the time of delivery. Any visible damage, shortage, incorrect product, or packaging tampering must be reported immediately at the time of delivery or within 24 (twenty-four) hours of receipt through the Platform's support mechanism. Failure to raise such a complaint within the stipulated time may be deemed as acceptance of the Products in good condition.
5. The delivery timelines shown on the Platform are indicative and may vary due to factors beyond the control of the Vendor or the Platform, including logistics constraints, weather conditions, or force majeure events.
6. Risk of loss and title in the Products shall pass to the Buyer upon delivery of the Products at the delivery location.

1. All requests for return, replacement, or refund of the Products shall be governed by the Payment, Return and Refund Policy available on the Platform, which forms an integral part of these Terms.
2. The returns or replacement requests may be accepted only in the following cases:
   • The Product is delivered in a damaged condition;
   • The Product is found to be defective at the time of delivery; or
   • The Product delivered is materially different or incorrect from what was ordered.
3. All such requests must be raised by the Customer within the timelines specified in these Terms and/or in the manner prescribed on the Platform.
4. Upon verification and approval of a return, or refund request, the refund amount (if any) shall be processed through the original mode of payment used by the Customer at the time of placing the order, within 48 (Forty-Eight) hours and once it is accepted, the same shall be refund within 7 (Seven) business days.
5. The Company or Vendor reserves the right to reject any return, replacement, or refund request that does not comply with the applicable policy or where the Product is found to have been used, damaged after delivery, or tampered with by the Customer.

By accessing or using the Platform, you agree to:

1. Use the Platform only for lawful purposes and in a manner that does not violate any Applicable Laws, regulations, or third-party rights.
2. Not misuse the Platform by introducing viruses, malware, or any other technologically harmful material, or by attempting to gain unauthorized access to the Platform, its systems, or data.
3. Not manipulate, influence, fabricate, or publish false, misleading, or fraudulent reviews, ratings, or feedback about Products, Vendors, or the Platform.
4. Not engage in any activity that interferes with or disrupts the normal functioning, security, or integrity of the Platform.
5. Not resell, distribute, or commercially exploit any Products purchased through the Platform in an unlawful or unauthorized manner, including violation of intellectual property, trademark, or regulatory requirements.
6. Provide accurate, current, and complete information when creating an account, placing orders, or submitting any information on the Platform.

The Company reserves the right to suspend or terminate your access to the Platform in case of any breach of these obligations.

To the maximum extent permitted by Applicable Laws, the Company shall not be liable for:

1. Any defects, quality issues, or non-conformity in Products supplied by the Vendors;
2. Any delays, failures, or disruptions in delivery caused by Vendors, logistics partners, or events beyond the Company's reasonable control;
3. Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or business interruption, arising out of or in connection with the use of the Platform or the purchase of Products through it;
4. Any losses arising from incorrect information provided by the Customer, including wrong delivery address, contact details, or payment information.

Notwithstanding, anything contained in these Terms, the Company's maximum aggregate liability, if any, shall be strictly limited to the amount actually paid by the Customer to the Company for the specific order giving rise to the claim.

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, affiliates, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your misuse of or unauthorized access to the Platform;
• Your violation of these Terms or any applicable policies of the Company;
• Any false, inaccurate, misleading, or incomplete information provided by you;
• Your breach of any Applicable Laws or third-party rights.

This indemnity obligation shall survive the termination or expiry of your access to or use of the Platform.

1. The Company reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Platform and/or your account, with or without prior notice, in the following circumstances:
   • If any fraudulent, suspicious, or unlawful activity is detected or reasonably suspected;
   • If required to do so under Applicable Law, regulation, court order, or directive of a governmental or regulatory authority;
   • If you are found to be in breach of these Terms, any applicable policies, or any representations made by you to the Company.
2. The Company shall not be liable for any losses, damages, or consequences suffered by you as a result of such suspension or termination.
3. The rights under this clause are in addition to any other remedies available to the Company under Applicable Law.

1. All content available on the Platform, including but not limited to text, graphics, images, logos, trademarks, designs, layout, icons, software, source code, and overall look and feel are the exclusive property of the Company and/or its licensors and are protected under applicable intellectual property laws.
2. Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform solely for your personal and lawful use. This licence does not permit you to reproduce, modify, distribute, publicly display, reverse engineer, or commercially exploit any part of the Platform.
3. Any unauthorized use of the Company's intellectual property may result in legal action and termination of your access to the Platform.

The Company shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay arises due to events beyond its reasonable control (“Force Majeure Events”), including but not limited to acts of God, natural disasters, floods, earthquakes, fires, epidemics, pandemics, war, riots, civil disturbances, strikes, lockouts, labour disputes, acts of government, court orders, changes in law, internet or telecommunications failures, power outages, or failures of logistics or transportation networks. During the continuance of a Force Majeure Event, the Company's affected obligations shall be deemed suspended for the duration of such event, and the Company shall not be liable for any losses or damages arising therefrom.

These Terms shall be governed by and be construed in accordance with the laws of India, without regard to the principles of conflicts of laws.

In the event that any dispute arises between the parties in connection with these Terms, the parties shall conduct negotiations in good faith to solve such dispute. If mutual resolution cannot be reached within 15 (fifteen) days after the commencement of such negotiations, the parties shall refer the dispute to a sole arbitrator. The arbitration proceedings shall place according to the in accordance with the Arbitration and Conciliation Act, 1996 and rules framed thereunder (“Rules”). The award rendered shall be in writing, and shall set out the reasons for the sole arbitrator's decision. The award shall allocate or apportion the costs of the arbitration as the sole arbitrator deems fair. This Terms, and the rights and obligations of the parties shall remain in full force and effect pending the award in such arbitration proceeding, which award, if appropriate, shall determine whether and when, any termination shall become effective. All proceedings in any such arbitration shall be conducted in English. The seat of the arbitration proceedings shall be at Surat, Gujarat.

1. The Platform is provided on an “as is” and “as available” basis. The Company does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, nor does it guarantee that any defects will be corrected.
2. The Company acts solely as an intermediary and marketplace as defined under the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020. The actual contract of sale is strictly between the Buyer and the Vendor. The Company does not manufacture, stock, own, or control the Products listed on the Platform and shall not be responsible for their quality, safety, legality, or fitness for any purpose.
3. The Company reserves the right to modify, suspend, or discontinue any part of the Platform, including Product listings, availability, and pricing, at any time without prior notice.
4. The Company does not request or collect sensitive banking information such as passwords, PINs, OTPs, or full card details outside authorized and secure third-party payment gateways. Buyers are advised not to share such confidential information with any individual, email, call, or message claiming to represent the Company.
5. The Company shall not be responsible for any losses arising from Buyers sharing such sensitive information outside the official payment process.

1. If any provision of these Terms is held invalid, the remaining provisions shall remain enforceable.
2. Failure by the Company to enforce any right shall not constitute a waiver of such right.

In case of any concerns, complaints, or grievances relating to the use of the Platform, Products, or services, Users may contact the Company's designated Grievance Officer.

The Grievance Officer shall acknowledge receipt of any consumer grievance within 48 (forty-eight) hours and shall endeavour to resolve the grievance within 1 (one) month from the date of receipt of the complaint.

These Terms may be updated periodically to reflect changes in legal requirements or operational processes. Updated versions will include a revised “Last Updated” date and may be communicated to Buyers or Customers through email or notices on the Platform. Continued use after such updates constitutes acceptance of the revised Terms.
